Terms of Service
These Terms of Service ("Terms") are a binding agreement between you (the "Customer," "you," or "your") and MR Holdings & Trade LLC, a Wyoming limited liability company doing business as ("d/b/a") QuoteFleet ("QuoteFleet," "we," "us," or "our"). They govern your access to and use of the QuoteFleet website, dashboard, hosted quote pages, APIs, and related services (together, the "Service"). Please read them carefully.
1. Acceptance of these Terms
By creating an account, starting a free trial, subscribing to a paid plan, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
2. Description of the Service
QuoteFleet is a subscription software-as-a-service (SaaS) product for trucking service providers — including carriers, brokers, and freight forwarders. The Service provides a branded, hosted rate-calculator page that instantly generates freight quotes for your customers, along with:
- Downloadable PDF quotes;
- Instant lead capture from your quote page;
- An optional AI chat assistant that can help answer customer questions and assist with quoting; and
- An optional, opt-in carrier marketplace (off by default — see §7).
Quotes generated by the Service are non-binding estimates based on the rates and rules you configure. They are not offers, contracts, or guarantees of price, capacity, or availability. You are solely responsible for the rates, rules, and content you enter and for any quote your customers receive.
3. Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract. The Service is intended for business use, not for consumers or anyone under 18.
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@quotefleet.net if you suspect unauthorized use.
- You are responsible for your users' compliance with these Terms.
4. Subscriptions, free trial & billing
Free trial
New accounts may start a 14-day, all-inclusive free trial. To begin the trial we require a valid payment card, which is kept on file with our payment processor, Stripe. You will not be charged during the trial. If you do not cancel before the trial ends, your paid subscription starts automatically and the card on file is charged for the first billing period. You can cancel at any time before the trial ends to avoid any charge — see our Refund & Cancellation Policy.
Paid subscription
- QuoteFleet is billed as a monthly recurring subscription, with an entry plan starting at $14.80 per month and unlimited quotes.
- There are no per-quote charges, no setup fees, and no long-term contracts. You may cancel at any time.
- Fees are charged in advance for each billing period and, unless otherwise stated, are exclusive of taxes. You are responsible for any applicable sales, use, VAT, GST, or similar taxes, which we may add where required.
- Card payments are processed by Stripe. We do not store your full card number; Stripe handles card data directly.
- Your subscription renews automatically each period until you cancel. Cancellation takes effect at the end of the current billing period, and access continues until then.
Price changes
We may change subscription prices or introduce new fees. We will give you reasonable advance notice (for example, by email or in-app) before a price change takes effect on your subscription. If you do not agree to a change, you may cancel before it takes effect.
5. Acceptable use & prohibited conduct
You agree not to, and not to permit anyone to:
- Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose, or in violation of applicable transportation, consumer- protection, privacy, or export laws;
- Scrape, crawl, harvest, or use bots to extract data from the Service, or otherwise access it other than through the interfaces we provide;
- Overload, disrupt, probe, or attempt to gain unauthorized access to the Service, its infrastructure, or other customers' data;
- Resell, sublicense, white-label, or otherwise make the platform itself available to third parties as a competing or standalone service, except as expressly permitted in writing;
- Upload malware, or content that is infringing, defamatory, or unlawful;
- Reverse engineer or attempt to derive source code, except to the extent that restriction is prohibited by law; or
- Present QuoteFleet quotes as guaranteed prices or binding offers — quotes are estimates only.
We may suspend or limit access to protect the Service, our customers, or third parties, or to comply with law. Where practical, we will give notice.
6. Customer content & data ownership
As between you and us, you own the data and content you submit to the Service — including your rates, rules, branding, and the leads and customer information collected through your quote page ("Customer Content"). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to operate, secure, support, and improve the Service for you.
We provide per-tenant data isolation at the database level, we do not sell your Customer Content, and we do not use your rates or leads to train AI models. Our processing of personal data on your behalf is governed by our Data Processing Addendum (DPA), which covers GDPR, UK GDPR, CCPA/CPRA, and PIPEDA. See our Privacy Policy for details.
7. Optional carrier marketplace
The Service may offer an optional carrier marketplace. It is off by default and strictly opt-in — no Customer Content is listed or shared with the marketplace unless you explicitly enable it and choose what to share. You can turn it off at any time in your settings. You are responsible for the accuracy of anything you choose to list, and any dealings you enter into with other participants are solely between you and them.
8. AI features
The Service includes optional AI features, such as the AI chat assistant and AI-assisted quoting. AI outputs are generated automatically and may be incomplete, inaccurate, or otherwise imperfect. They are provided to assist you, not to replace your judgment. You should review AI-generated content before relying on it or sending it to your customers. We do not use your rates or leads to train AI models. You are responsible for how you configure and use the AI features.
9. Intellectual property
The Service, including its software, design, branding, and documentation, is owned by QuoteFleet and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. "QuoteFleet" and our logos are our marks; you may not use them without permission except to identify your use of the Service. You retain all rights in your own branding and Customer Content.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any quote, estimate, or AI output will be accurate. Quotes are non-binding estimates, and we do not guarantee any loads, bookings, revenue, or business outcome. You are responsible for verifying rates and results before relying on them.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms, even if advised of the possibility. To the maximum extent permitted by law, QuoteFleet's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amounts you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You will defend, indemnify, and hold harmless QuoteFleet and its affiliates, officers, and employees from and against any third-party claims, damages, liabilities, and reasonable costs (including legal fees) arising out of or related to your Customer Content, your use of the Service, your quotes and dealings with your customers, or your breach of these Terms or of applicable law.
13. Term & termination
- These Terms apply while you have an account or use the Service.
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and access continues until then. See the Refund & Cancellation Policy.
- We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service unlawfully, or as required by law. Where practical, we will give notice and an opportunity to cure.
- On termination, your right to use the Service ends. You may export your Customer Content before your access ends; afterward, data is retained and deleted as described in our Privacy Policy and DPA. Provisions that by their nature should survive (e.g. ownership, disclaimers, liability limits, indemnity, governing law) survive termination.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app) and update the "Last updated" date above. Changes take effect when posted or on the effective date stated in the notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
15. Governing law & disputes
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You and QuoteFleet agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for the resolution of any dispute not subject to an alternative agreed process. Nothing in this section limits either party's ability to seek injunctive relief to protect its intellectual property or confidential information.
